Terms & Conditions

These Terms & Conditions ("Terms") govern your access to the website rustral.com (the "Site") and the services provided by Rustral Technology LLC ("Rustral", "we", "us"). By using the Site or engaging our services, you ("Client", "you") agree to these Terms. If you do not agree, do not use the Site or our services.

1. About us

Rustral Technology LLC is a software engineering and consulting company registered in the State of Wyoming, USA, at 30 N Gould St, Ste R, Sheridan, WY 82801, USA. Contact: [email protected].

2. Services

Rustral provides: (a) custom software engineering and development; (b) technical consulting, audits, and advisory; and (c) licenses to pre-built software products and source code ("Products"). The specific scope, deliverables, fees, and timeline of any engagement are defined in a written proposal, statement of work, order form, or license agreement ("Order"), which forms part of these Terms. Where an Order conflicts with these Terms, the Order prevails for that engagement.

3. Quotes, proposals & acceptance

Quotes and proposals are valid for the period stated in them and become binding once accepted by you in writing (including email) and, where applicable, upon payment of any deposit. We may decline or withdraw from any engagement before work begins.

4. Fees & payment

• Fees, currency, milestones, and payment schedule are set out in the Order.
• Unless stated otherwise, a deposit may be required before work begins, and invoices are due within fourteen (14) days of issue.
• We may pause or suspend work on overdue accounts. Late amounts may accrue reasonable interest where permitted by law.
• Fees are exclusive of any taxes; you are responsible for applicable taxes other than taxes on our net income.

5. Intellectual property

Upon full payment for an engagement, you receive ownership of, or a license to, the custom deliverables as specified in the Order. Rustral retains all rights to its pre-existing materials, know-how, tools, libraries, and frameworks ("Background IP") used to create the deliverables, and grants you a non-exclusive license to use such Background IP solely as embedded in the deliverables. Products are provided under the license terms stated in their Order; absent other terms, a Product license is non-exclusive, non-transferable, and for your internal business use.

6. Client responsibilities

You agree to provide timely access, information, approvals, and any required credentials or accounts; to ensure you have the right to provide us any materials; and to use our deliverables and Products lawfully and in compliance with all applicable laws and third-party terms (including those of any exchange, blockchain, or API).

7. Confidentiality

Each party will protect the other's confidential information and use it only to perform under the engagement. We are happy to sign a mutual NDA before discussing sensitive details.

8. No financial advice; no profit guarantee

Rustral provides engineering and software only. We do not provide financial, investment, legal, or tax advice, and we do not guarantee any trading, investment, or business outcome. Any software relating to trading, arbitrage, MEV, or digital assets is provided as a tool; you are solely responsible for your strategy, capital, risk management, and regulatory compliance. Such activities carry risk of substantial loss. Past performance of any system is not indicative of future results.

9. Warranties & disclaimer

We warrant that services will be performed in a professional and workmanlike manner. Except as expressly stated in an Order, the Site, deliverables, and Products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Rustral will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or trading losses, arising out of or relating to the Site, services, or Products. Our total aggregate liability for any claim is limited to the amount you paid to us for the specific engagement giving rise to the claim in the three (3) months preceding the event.

11. Indemnification

You agree to indemnify and hold Rustral harmless from claims, damages, and expenses arising from your use of the deliverables or Products, your violation of these Terms, or your violation of any law or third-party right.

12. Term & termination

These Terms apply while you use the Site or any engagement is active. Either party may terminate an engagement as described in our Cancellation Policy and the applicable Order. Provisions that by their nature should survive termination (including IP, confidentiality, disclaimers, and liability) will survive.

13. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute in good faith. Failing that, disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, unless otherwise required by mandatory law.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision; continued use of the Site after changes constitutes acceptance.
